Terms of Service

1. Who we are

Agentarivm is developed and licensed by Marcel Čampa s.p. (“we”), a sole proprietorship registered in Slovenia. You can reach us at marcel@stelynx.com. By creating an account or using the software, you agree to these terms.

2. What Agentarivm is

Agentarivm is self-hosted software: a manager service that runs coding-agent sessions (such as Claude Code or Codex) on a machine you own, and client applications to control it. It is licensed, not sold, and it is not open-source software. We host nothing for you and receive none of your code, credentials or session data.

3. Your account

Using the software requires an Agentarivm account — free, and created by signing in with GitHub. Your account carries your plan, and the manager confirms it as described in section 8. Accounts are personal: one per person, not shared.

4. The Personal plan (free)

Individuals may use Agentarivm free of charge on one manager machine with up to two paired client apps, for projects that generate no revenue: hobby projects, learning, and open-source work that earns nothing.

Any use for a project that generates revenue — for you or for anyone else — is not covered. This includes client work, an employer's or company's repositories, a product or service you sell, and a funded venture's code. Such use requires a paid plan.

5. The Indie and Pro plans

Indie and Pro cover one manager machine each, for any use including revenue-generating work, with the number of paired client apps stated on agentarivm.com/pricing — as are the prices, which are the ones published when you subscribe.

6. The Enterprise plan

More than one manager machine, or terms beyond these, requires an Enterprise agreement made directly with us and priced by the number of manager machines and paired clients. Where the Enterprise agreement and these terms differ, the agreement prevails.

7. All plans

Every license is non-exclusive and non-transferable. You may not:

  • redistribute, resell, rent, sublicense or host the software for third parties;
  • remove or alter license, attribution or proprietary notices;
  • share accounts, or circumvent or disable license validation;
  • use the software beyond the machines, clients or purposes your plan covers;
  • reverse engineer, decompile or disassemble the software, except to the extent a law that cannot be contracted away expressly permits it;
  • use the software in violation of applicable law.

8. License validation

The manager confirms your plan against our licensing service approximately once a day. The check sends your account identity, an anonymous machine identifier and the software version — nothing about your code, repositories, sessions or credentials. We use validation data to operate the licensing system and to detect use outside a plan's scope.

Validation is built to never interrupt work: it has a 14-day offline grace period, running sessions are never stopped, and the manager never refuses to run. If no check succeeds for longer than that — or your paid plan has ended — the manager falls back to Personal limits until a check succeeds again.

9. Billing, renewal and cancellation

Indie and Pro are billed in advance through Stripe, monthly or yearly, and renew automatically until cancelled. You can cancel at any time; the plan continues to the end of the period already paid for. We may change prices with at least 30 days' notice; a change never applies to a period you have already paid. Enterprise agreements are billed by invoice, payable as stated on the invoice; if an invoice remains unpaid after a reminder and a reasonable further period, we may suspend the license until it is settled.

10. Refunds and the right of withdrawal

If you are a consumer in the EU, you have a statutory 14-day right of withdrawal from a distance purchase. For digital content, this right lapses when delivery begins with your express consent — which you give when you activate the plan before the 14 days expire. Beyond statutory rights, refunds are at our discretion; write to us and we will be reasonable.

11. Your responsibilities

Agentarivm starts AI coding agents on your hardware and lets them modify your repositories. You are responsible for: the machine it runs on and its security; reviewing what agents produce before you merge or ship it; the credentials you configure (GitHub and your agent engines); and your compliance with the terms of the third-party services you connect — GitHub and your agent-engine providers (such as Anthropic for Claude Code, or OpenAI for Codex) in particular. A subscription with the relevant provider is required for each engine you use and is entirely between you and that provider.

12. Updates

A valid plan includes the updates we release while it lasts. We decide what the software contains; no specific future feature is promised. Because the software runs on your machine, nothing here is a promise of uptime or availability.

13. Intellectual property

The software, its design and its branding remain our property. Your repositories and your data remain yours, and we claim no rights over anything the agents produce in them.

14. Warranty and liability

To the maximum extent permitted by law, the software is provided as is. For the free Personal plan, our liability is limited to what mandatory law does not allow us to exclude. For paid plans, our total liability arising from the software is limited to the fees you paid in the twelve months before the claim arose. Nothing in these terms excludes or limits liability for intent or gross negligence, for death or personal injury, or any liability that cannot be limited under applicable law. If you are a consumer, your statutory rights are unaffected.

15. Termination

We may terminate a license if you materially breach these terms — using the Personal plan for revenue-generating work or beyond its limits is such a breach — and do not cure the breach within a reasonable time after notice. When a license ends, your right to run the software ends with it. Everything on your machine — repositories, worktrees, your data — is yours and stays where it is.

16. Changes to these terms

We may update these terms; the current version is always at this address, with its date above. For material changes we will notify account holders by email before they take effect. Continued use after that is acceptance.

17. Governing law and disputes

These terms are governed by the law of the Republic of Slovenia, and disputes belong to the competent court in Ljubljana. If you are a consumer, you keep any protections and venue rights your home law gives you, and you may also use the European Commission's online dispute resolution platform.
